End-User License Agreement (EULA)

This End-User License Agreement (the “Agreement”) is a binding legal agreement between you, either an individual or a single legal entity (“you”, “your”, or “Licensee”), and TrafficFlow GmbH, a limited-liability company organized under the laws of Switzerland, with its registered office at Staubstrasse 1, 8038 Zürich, Zurich, Switzerland, registered under CHE-364.165.705 (CHE-364.165.705) (“TrafficFlow”, “we”, “us”, or “our”). TrafficFlow is the developer and vendor of OnePageCheckout Pro (the “Plugin”), distributed via onepagecheckout.pro.
By purchasing, downloading, installing, activating, or using the Plugin, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree, do not install or use the Plugin. If you are entering into this Agreement on behalf of an organization, you represent that you have authority to bind that organization.
1. Definitions
- “Plugin” means the OnePageCheckout Pro software for WooCommerce, including its source code, object code, templates, assets, and any Updates we make available.
- “GPL Code” means the parts of the Plugin that are licensed under the GNU General Public License, version 2 or (at your option) any later version (“GPLv2-or-later”).
- “License Key” means the unique key or credential we issue to you that authorizes access to Updates, Support, and site Activations for your purchased tier.
- “Tier” means the license level you purchased: Starter (1 site), Growth (up to 5 sites), or Agency (unlimited sites).
- “Activation” means the association of your License Key with a single distinct WordPress installation (site) for the purpose of receiving Updates and Support.
- “Updates” means bug fixes, security patches, maintenance releases, and feature updates to the Plugin that we choose to make generally available.
- “Support” means the technical assistance we provide for the Plugin through our designated support channel, support@onepagecheckout.pro.
2. The Two Layers: GPL Code and License Key
The Plugin has two distinct layers, and it is important to understand how they relate:
- The code is free software. The GPL Code is licensed to you under GPLv2-or-later. Under that license you receive broad rights, including the right to run, study, modify, and redistribute the GPL Code, subject to the terms of the GNU GPL. Nothing in this Agreement removes, restricts, or overrides any right the GNU GPL grants you in the GPL Code. Where a term of this Agreement conflicts with the GNU GPL as applied to the GPL Code, the GNU GPL prevails for that code.
- The License Key is a paid service, not a copyright license to the code. Your purchase does not primarily buy you the code (which is GPL); it buys you access to Updates, Support, and Activation entitlements for your Tier, delivered through your License Key. This access is a commercial service governed by this Agreement and is separate from the copyright license on the code.
In short: you may do with the GPL Code whatever the GNU GPL permits, but the License Key that unlocks Updates, Support, and per-Tier Activations is a paid entitlement subject to the terms below.
3. Grant of License
Subject to your compliance with this Agreement and payment of the applicable fees, TrafficFlow grants you a non-exclusive, non-transferable, worldwide right, for the term of your license, to:
- install and use the Plugin on the number of production sites permitted by your Tier;
- receive Updates for those sites while your license is active; and
- receive Support for those sites while your license is active.
Your rights in the GPL Code itself are additionally and independently governed by GPLv2-or-later, as described in Section 2.
4. Permitted Use and Activation Limits
Your License Key entitles you to Activations up to the limit of your Tier:
- Starter — 1 site;
- Growth — up to 5 sites;
- Agency — unlimited sites.
You may use the Plugin on client sites and staging or development environments. As a courtesy, and where technically supported, a staging or local development copy that mirrors a licensed production site is not counted separately against your Activation limit; the count is based on distinct production installations. If you need more Activations than your Tier allows, you must upgrade to a higher Tier.
Each Activation entitles that site to receive Updates and Support through your active License Key. Because the GPL Code is free software, deploying the code beyond your Activation limit does not by itself violate the GNU GPL — but only sites within your Tier limit are entitled to Updates and Support through your License Key, and exceeding the limit is a breach of this Agreement’s service terms.
5. License Term, Updates, and Support
The Plugin is sold either as an annual subscription or as a one-time lifetime license:
- Annual subscription. Your License Key entitles you to Updates and Support for one (1) year from the date of purchase. To continue receiving Updates and Support after that period, you must renew. Subscriptions may renew automatically unless cancelled; you can cancel at any time before renewal.
- Lifetime license. Your License Key entitles you to Updates and Support for the commercial lifetime of the Plugin — that is, for as long as TrafficFlow continues to actively develop and support OnePageCheckout Pro as a product. “Lifetime” refers to the life of the product, not the natural life of the purchaser, and does not obligate TrafficFlow to develop the Plugin in perpetuity.
When your license lapses, expires, or is not renewed, the Plugin you have already installed will continue to function — we do not remotely disable installed software — but you will no longer be entitled to new Updates or to Support. Running an unmaintained version is at your own risk, particularly regarding security. Support is provided in English through support@onepagecheckout.pro and covers the current and immediately preceding major versions of the Plugin.
6. Fees, Taxes, and Refunds
Prices are stated on onepagecheckout.pro and are exclusive of taxes unless otherwise indicated. As a digital product, applicable taxes — including Swiss VAT and, where relevant, EU VAT — may be added at checkout based on your location and status. You are responsible for any taxes not collected by us.
We offer a 14-day money-back guarantee: if you are not satisfied, you may request a full refund within fourteen (14) days of your original purchase by contacting support@onepagecheckout.pro. Refunds are issued to the original payment method. This guarantee applies to first-time purchases; it does not apply to renewals, to repeated purchases of the same product intended to circumvent the policy, or to abusive requests.
7. Restrictions
The following restrictions apply to your License Key and the paid services and do not restrict any right you hold in the GPL Code under the GNU GPL. You agree that you will not:
- sell, sublicense, rent, lease, share, publish, or otherwise transfer or disclose your License Key to any third party, or use it to provide Updates or Support to sites you do not own or operate under your Tier;
- use a single License Key across more sites than your Tier permits, or attempt to obtain additional Activations by fraud or circumvention;
- remove, disable, bypass, tamper with, or circumvent the license-key, Activation, or Update-delivery mechanisms of our service, or the parts of the Plugin that manage them, in order to obtain Updates or Support you have not paid for;
- misrepresent your Tier, identity, or eligibility in order to obtain Support or Updates;
- use the Plugin or the License Key in any way that infringes our or a third party’s rights, or that violates applicable law.
For clarity: redistributing the GPL Code as permitted by the GNU GPL is not a breach of this Agreement. What this Agreement restricts is the sharing, resale, or circumvention of the License Key and the paid Update/Support service, which are not part of the GPL grant.
8. Ownership and Intellectual Property
TrafficFlow and its licensors retain all right, title, and interest in and to the Plugin, including all copyright, trade secrets, and other intellectual property rights, subject to the rights granted to you in the GPL Code under GPLv2-or-later and in this Agreement. This Agreement does not transfer ownership of the Plugin to you.
The names “OnePageCheckout Pro”, “TrafficFlow”, the onepagecheckout.pro brand, and our logos and trademarks are the property of TrafficFlow. The GPL does not grant any trademark rights: you may not use our names, logos, or trademarks to market, brand, or endorse any product or redistribution without our prior written permission. “WooCommerce”, “WordPress”, and other third-party marks belong to their respective owners.
9. Deactivation Restores the Stock Checkout — No Lock-In
The Plugin is designed to be fully reversible and imposes no lock-in. It works on top of the native WooCommerce checkout without permanently altering your store’s core data. Deactivating the Plugin instantly restores the standard WooCommerce checkout experience, and deactivating or uninstalling it does not delete your WooCommerce orders, customers, or products. You remain free to stop using the Plugin at any time.
10. Third-Party Components and Payments
The Plugin operates within WordPress and WooCommerce and may interact with third-party services, including payment gateways. Payments on onepagecheckout.pro are processed by Stripe, whose own terms and privacy practices govern its services; we do not store card details. Payment gateways on your own store are separate third-party services. TrafficFlow is not responsible for third-party components, and your use of them is subject to their respective terms.
11. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Plugin and all related services are provided “as is” and “as available”, without warranty of any kind, whether express, implied, or statutory. TrafficFlow expressly disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. Consistent with the GNU GPL, the GPL Code is distributed in the hope that it will be useful, but WITHOUT ANY WARRANTY; without even the implied warranty of MERCHANTABILITY or FITNESS FOR A PARTICULAR PURPOSE.
We do not warrant that the Plugin will be uninterrupted, error-free, secure, or compatible with every configuration of WordPress, WooCommerce, theme, plugin, or hosting environment. You are responsible for maintaining backups and for testing the Plugin in a staging environment before deploying it to production.
12. Limitation of Liability
To the maximum extent permitted by applicable law, TrafficFlow and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to the Plugin or this Agreement, even if advised of the possibility of such damages, whether based on contract, tort, or any other legal theory.
To the maximum extent permitted by applicable law, TrafficFlow’s total aggregate liability arising out of or relating to the Plugin and this Agreement shall not exceed the total amount you actually paid to TrafficFlow for the Plugin in the twelve (12) months preceding the event giving rise to the claim.
Nothing in this Agreement excludes or limits liability that cannot be excluded or limited under applicable mandatory law, including liability for death or personal injury caused by negligence, or for fraud or willful misconduct. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you; in that case, our liability is limited to the fullest extent permitted by law.
13. Term and Termination
This Agreement is effective from the date you first install or use the Plugin and continues for as long as you use it or hold a License Key.
Your rights under the paid-service portions of this Agreement (Updates, Support, and Activation entitlements) terminate automatically if you materially breach this Agreement — for example, by reselling or sharing your License Key or by circumventing the license or Update mechanisms — and we may suspend or revoke your License Key in such cases. We may also terminate for non-payment or fraud.
Termination of this Agreement does not, and cannot, terminate your rights in the GPL Code under GPLv2-or-later, which continue in accordance with the GNU GPL for so long as you comply with it. Upon termination of the paid services, you lose access to further Updates and Support. Sections concerning ownership, restrictions on the License Key, disclaimers, limitation of liability, and governing law survive termination.
14. Governing Law and Jurisdiction
This Agreement is governed by and construed in accordance with the substantive laws of Switzerland, excluding its conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction for any dispute arising out of or in connection with this Agreement is Zurich, Switzerland, subject to any mandatory place of jurisdiction that applicable law provides for consumers. The license terms of the GPL Code remain governed by the GNU GPL.
15. General
- Entire agreement. This Agreement, together with the GNU GPL (for the GPL Code) and any order or checkout terms you accepted at purchase, is the entire agreement between you and TrafficFlow regarding the Plugin and supersedes prior understandings.
- Changes. We may update this Agreement from time to time. Material changes will be posted on onepagecheckout.pro with a revised “Last updated” date; continued use after changes take effect constitutes acceptance for future use.
- Severability. If any provision is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be replaced by an enforceable one that most closely reflects its intent.
- No waiver. Our failure to enforce any provision is not a waiver of it.
- Assignment. You may not assign this Agreement without our prior written consent. We may assign it in connection with a merger, acquisition, or sale of assets.
